Procedure for Registered Office Change

1. Within Same City/Town/Village

2. From One City to Another Within Same RoC
  • Hold a Board Meeting and call a General Meeting.
  • Pass a Special Resolution in the General Meeting.
  • File Form MGT-14 and Form INC-22 with RoC along with resolutions, notice, and proof of address.
  • Update address in company records post-approval.
3. From One RoC Jurisdiction to Another (Same State)
  • Board Resolution and Special Resolution in General Meeting.
  • File MGT-14 with RoC.
  • Application to Regional Director using Form INC-23 with resolutions, affidavits, creditors’ consent, and state intimation.
  • On approval, file INC-28 and INC-22 with RoC to update the address.
4. From One State to Another
  • Board and Special Resolutions to amend the MOA.
  • Prepare a list of creditors and seek their consent.
  • Publish newspaper advertisements (Form INC-26).
  • File application with Regional Director (INC-23) along with required documents.
  • On approval, file MGT-14, INC-28, and INC-22 with RoC.
